About the opportunity
The Associate – Secretarial & Compliance will serve as the primary liaison between the organization and statutory authorities, managing all aspects of corporate secretarial filings, factory compliance, and operational governance. This role is critical to ensuring the company remains compliant with applicable laws and regulations across multiple jurisdictions, while maintaining robust internal governance standards. The successful candidate will work closely with the Finance Controller and senior management to establish, document, and monitor compliance frameworks.

Key responsibilities
A. Secretarial & Corporate Governance

  • Manage Ministry of Corporate Affairs (MCA) filings including Form DIR, DIN applications, DPT, INC-21A, and other statutory returns.

  • Coordinate with Registrar of Companies (RoC) for company registrations, amendments, and annual compliance filings.

  • Prepare and maintain statutory registers: register of directors, members, charges, and contracts.

  • Maintain board resolutions, board minutes, and committee meeting documentation.

  • Coordinate annual general meetings (AGMs), board meetings, and audit committee meetings.

  • Ensure timely filing of regulatory documents with tax authorities, stock exchange (if applicable), and other regulatory bodies.

  • Maintain accurate records of share certificates, share transfers, and member details.

  • Prepare certificates for statutory approvals and director certification requirements.

B. Factory & Operational Compliance

  • Monitor factory compliance across manufacturing units for labor laws, wage codes, and worker welfare requirements.

  • Ensure adherence to Factory Act provisions: safety equipment, fire exits, machine guarding, and emergency procedures.

  • Coordinate fire safety certifications, building compliance approvals, and periodic inspections.

  • Maintain environmental compliance: waste management, water treatment, emissions monitoring, and pollution control board (PCB) registrations.

  • Oversee labor law compliance: attendance records, wage registers, provident fund (PF), employee state insurance (ESI), and gratuity management.

  • Manage anti-child labor audits and occupational health and safety (OSHA) protocols.

  • Coordinate inspections and audits from labor departments, environmental authorities, and third-party auditors.

  • Maintain compliance documentation and audit trail for regulatory inspections.

C. Data Management & Reporting

  • Maintain centralized compliance calendar with statutory filing deadlines and renewal dates.

  • Prepare periodic compliance reports for senior management and audit committees.

  • Track compliance action items, remediation status, and closure of audit findings.

  • Document compliance policies, procedures, and audit evidence for internal and external audits.

  • Prepare management representation letters and compliance certifications as required.

D. Cross-functional Collaboration

  • Liaison with HR/People team on labor law compliance and worker-related documentation.

  • Coordinate with Operations team on factory compliance and safety protocols.

  • Support Finance Controller with audit readiness and financial compliance documentation.

  • Engage with external counsel, auditors, and regulatory consultants as required.

    Key skills & qualifications

  • Bachelor's degree in Commerce, Business Administration, or Law.

  • 2–4 years of experience in corporate compliance, secretarial functions, or factory compliance.

  • Strong knowledge of Companies Act 2013, factory laws, and labor codes (wages, social security, etc.).

  • Working knowledge of RoC/MCA portals and compliance software (e.g., Master Control, Deskera, or similar).

  • Proficiency in Microsoft Office Suite, particularly Excel and Word.

  • Excellent organizational, documentation, and follow-up skills with attention to detail.

    Preferred Qualification

  • Certification in Secretarial Practice (CS) or higher qualification.

  • Prior experience in e-commerce, D2C, or retail sector compliance.

  • Exposure to multi-location or multi-state compliance management.

  • Familiarity with audit trail documentation and compliance audits.
