What we are looking for…

We are in search of an experienced and driven Corporate Paralegal who thrives in a fast-paced, high-output environment to support our small Legal department of two attorneys. This person must be extremely detail-oriented, able to efficiently juggle and prioritize multiple highly-sensitive projects at once. Exceptional communication, time management, and organizational skills are necessary to succeed in this role. 

What you’ll do…

  • Corporate Governance, HR & Compliance

    • Maintain corporate records, minute books, and cap-table documentation.

    • Assist with formation, qualification, and dissolution of subsidiaries and SPVs across multiple states.

    • Track annual reports, business licenses, and registered agent filings.

    • Prepare board consents, written resolutions, and officer certificates.

    • Help implement internal policies (records retention, conflicts, whistleblower compliance, etc.).

    • Support HR with employment forms, offer letters templates, and compliance training coordination (as assigned).

    • Support privacy/data-governance tasks (DPIAs, vendor DPAs, DSAR intake coordination).

  • Transaction Support

    • Draft, review, and manage standard agreements (NDAs, vendor agreements, marketing agreements, referral agreements, SaaS tools, consulting agreements).

    • Organize diligence rooms for financings, lender audits, or potential M&A.

    • Maintain organized contract database, templates, and clause library.

    • Assist with signature packages, closing checklists, and post-closing compliance.

    • Monitor key dates (renewals, expirations, notice deadlines).

  • Insurance, Claims & Litigation Support

    • Coordinate insurance renewals, audits, claim filing, and loss run management.

    • Track subpoenas, demand letters, guest claims, vendor disputes, and insurance notices

    • Track case progress and outside counsel billing records.

    • Coordinate document preservation and assist with e-discovery logistics and document production.

    • Liaise with outside counsel and internal stakeholders for status updates.

  • Systems & Processes

    • Help implement and optimize contract management, e-signature, and entity-management tools.

    • Create playbooks, checklists, and training materials for business teams.

    • Develop dashboards, trackers and presentations to keep executives informed of team progress. 

    • Identify efficiency gaps and propose scalable workflows.

What you’ll bring…

  • A minimum of 3 years of experience working in a US-based law firm or in-house legal team setting.

  • Deep experience working within US-based legal and insurance systems. 

  • Firm understanding of contract structure and contract lifecycles.

  • Strong transactional background, with solid drafting experience.

  • Exceptional problem-solving and decision-making abilities.

  • Capacity to regulate and perform under stress.

  • Superior oral and written communication skills.

  • Excellent attention to detail.

  • Excellent time management skills and ability to adjust to changing project priorities in a fast-paced and deadline-driven environment.
