About Lorum

The structural conflict at the centre of correspondent banking is not technological. It is economic. Banks earn revenue from their balance sheets: they lend deposits, capture FX spreads, and hold funds as long as it is rational to do so. Clearing, the act of releasing funds quickly and predictably, competes directly with those economics. An institution designed to lend has a structural incentive to hold deposits; an institution designed to clear has an incentive to release them. When one institution does both, clearing loses. The result is unpredictable settlement, trapped capital, and a correspondent network shrinking by design.

Why Lorum

Lorum was founded on a different premise: clearing as the business, not a byproduct. The model has been operational since 2023 and grew 55x in 2025, with USD clearing now the majority of volumes alongside a growing treasury offering. We have applied for a U.S. national trust bank charter. The people we hire now will build the clearing and treasury infrastructure it unlocks.

About the role

We're looking for a Corporate Secretary & Legal Counsel to own corporate governance, GDPR privacy and DORA compliance across the Lorum Group. You'll be based in Liechtenstein and work directly with our boards, senior management and teams across our international operations. This is a new role. Corporate secretarial work is currently covered alongside other priorities, and DORA and privacy have no dedicated owner, so you'll build the function and the frameworks rather than inherit them. As we add regulated entities, you'll make sure governance is effective, proportionate and keeps pace with the business.

Key Responsibilities

  • Run board and committee meetings end to end: agendas, papers, minutes, resolutions and follow-up actions

  • Maintain corporate records, statutory registers and filings across the Group, and support entity management, structuring and corporate transactions

  • Build and maintain governance frameworks, policies and committee charters, coordinating across jurisdictions with management, external counsel and corporate service providers

  • Own the Group's DORA framework: implementation, upkeep and regulatory alignment across entities, working with IT, Information Security, Risk and Operations on ICT governance and operational resilience

  • Oversee the regulatory side of ICT third-party risk, including contractual and outsourcing requirements, and keep DORA policies, documentation and reporting current

  • Own the Group's GDPR and data protection framework: policies, procedures, contracts and records

  • Advise on data processing, international transfers and the privacy side of our products, and coordinate privacy assessments, incidents and requests

  • Embed practical data protection requirements into business and technology processes

  • Monitor regulatory developments and coordinate the updates that follow

  • Provide ad hoc legal support on corporate and regulatory matters as needed

Ideal candidate

Must-Haves

  • Several years' experience in a regulated financial institution, international financial services group or law firm, including first-hand experience leading a corporate secretary function

  • Hands-on experience with DORA: you understand what a company has to do to demonstrate compliance in an audit, and ideally you've implemented it

  • Strong GDPR and privacy expertise, with practical experience working with product and IT teams

  • A law degree (admission to the bar is not required) and strong legal skills, including reviewing and revising contracts to reflect DORA and GDPR requirements

  • Able to work 4 days/week from our Liechtenstein office

Nice-to-Haves

  • .Compliance experience

  • Familiarity with Liechtenstein and European financial services regulation

  • Experience managing several entities and workstreams across jurisdictions

Benefits

  • Flexible vacation policy

  • Private Healthcare

  • Employee stock ownership (ESOP)

  • Flexible working and autonomy

  • Pay it forward days - we offer 2 annual pay it forward days where you can take time to volunteer for a charitable cause that is important to you.

  • Wellness days - we believe you can only work your best when you feel your best, and we know working at Lorum is intense, so we offer 3 wellness days every quarter where you can take time to re-energize
