About the Role

We are looking for a Senior Legal professional with strong hands-on experience in Contract Law, Corporate Compliance, Intellectual Property (IP), liability framework, global legal exposure (including US and UK), particularly in the industry of Software development & consultancy services. The ideal candidate should be comfortable reviewing, negotiating, drafting, and redlining commercial contracts while identifying key legal and business risks along side handling day to day legal risks and compliances.

This role will work closely with internal business, sales, procurement, HR, and leadership teams to ensure contracts are commercially sound and aligned with the organization's legal and compliance requirements.

Key Responsibilities

  • Review, draft, negotiate, and redline a variety of commercial and corporate agreements.

  • Handle and review MSAs, NDAs, SaaS agreements, vendor agreements, addenda, and other commercial contracts.

  • Identify and assess contractual risks and resolutions related to:

    • Unlimited or excessive liability

    • One-sided indemnification

    • Broad or unfavorable IP ownership/licensing clauses

    • Confidentiality obligations

    • Data protection and privacy

    • Termination and renewal

    • Warranties and representations

  • Support corporate compliance activities and ensure agreements align with applicable legal and internal policies.

  • Maintain organized records of contracts, revisions, approvals, and executed agreements.

  • Coordinate with internal stakeholders and external parties to facilitate contract closure.

  • Assist with IP-related contractual matters, including ownership, licensing, usage rights, and protection of intellectual property.

Must-Have Skills & Experience

  • Good understanding of MSAs, NDAs, SaaS agreements, vendor agreements, and commercial contracts.

  • Proven ability to review contracts against templates, identify deviations, flag risks, and perform redlining.

  • Experience drafting NDAs, MSAs, vendor agreements, addenda, and amendments.

  • Strong understanding of contractual risk areas, particularly:

    • Unlimited liability

    • Indemnification

    • IP ownership and licensing

    • Confidentiality

    • Termination

    • Warranties and representations

  • Strong legal email drafting and documentation skills.

  • Comfortable working with MS Word and Google Docs, including document comparison and redlining features.

  • Strong attention to detail and ability to manage multiple contracts and priorities.

  • legal interpretation, risk comparison and analysis;

  • understanding of practical implications of the risks including but not limited to commercial comparison and outcome;

  • exposure to IP stance globally including but not limited to Delaware's law, and other state's jurisdictions;

  • exposure on corporate legal notices and its handlings.

Good to Have

  • Exposure to IP and compliance related matters globally, exposure to GDPR, CCPA and any other DDP laws.x

  • Exposure to CLM (Contract Lifecycle Management) tools including Docusign, ironclad, etc.

  • Experience with DocuSign.

  • Experience working with technology companies, IT services, and other commercial organizations.

  • Understanding of data protection, privacy, and technology-related contractual clauses.

The candidate should have a practical, business-oriented approach to legal matters rather than being limited to theoretical legal knowledge.
